Getting Personal: Responsibility of Boards for Executive Behavior
The Annual Directors Reception, the signature event of the FWA’s Directorships and Corporate Governance Committee, will be hosted by the law firm of Sidley Austin on March 31, 2020.
The current corporate climate is evolving. Companies are increasingly accountable to a broad base of stakeholders beyond their respective shareholders, including employees, consumers, and even the general public. Regulatory requirements continue to expand but enforcement is at times inconsistent and administrative guidance often lags significantly behind statutory enactment, leaving an uncertain vacuum in which a more nebulous “market practice” develops. There is a heightened focus on executive behavior, paired with a sense that disreputable behavior by an executive—even when not directly related to the business of the company—should be policed by the company.
This environment raises questions for boards, which are eager to follow best practices. Directors may grapple with what fiduciary responsibility they have to ensure their company’s culture is consistent with contemporary expectations, what tools they have to effect change and how to balance their duty to the expanded stakeholder group.
Sidley Austin partner Audry X. Casusol will moderate a panel of experienced corporate directors and executive officers who will address the questions this trend raises for corporate boards. It will focus on examples of actions a board might take once an issue has surfaced, as well as best practices and proactive steps a board may wish to consider putting in place now, including succession planning, incentive plan design, claw backs, conduct standards and other tools.
